Agreement to Terms

By downloading, installing, or using Panoramica ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. These Terms constitute a binding agreement between you and Cayman Pty Ltd ("we", "our", or "us"), a company registered in Australia.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. These Terms incorporate our Privacy Policy, which describes how we collect, use, and protect your information.

Description of Service

Panoramica is a personal portfolio tracking and visualisation tool. It allows you to manually record, categorise, and monitor the value of your investment holdings across multiple asset classes including equities, cryptocurrency, real estate, precious metals, cash, funds, and fixed income.

The Service fetches live pricing data from third-party providers for certain asset classes to display estimated current values. The Service does not execute trades, provide access to brokerage or exchange accounts, hold funds or securities, or provide custody services of any kind. It does not connect to bank accounts, brokerage accounts, or any financial institution on your behalf.

Not Financial Advice

The Service is an informational tool only. It is not a registered investment adviser, broker-dealer, financial planner, or financial services provider in any jurisdiction. Nothing in the Service constitutes financial, investment, tax, or legal advice, or a recommendation or solicitation to buy, sell, or hold any financial product.

Any data displayed by the Service — including asset prices, portfolio values, gains or losses, allocation percentages, performance metrics, and risk analysis — is factual information and general data for your own record-keeping purposes. It is not intended to, and should not, influence any investment decision.

You should consult a qualified financial adviser, accountant, or tax professional in your jurisdiction before making any investment or financial decision. Use of the Service does not create any fiduciary, advisory, or professional relationship between you and the Company.

Pricing Data Disclaimer

Live pricing data is sourced from third-party financial data providers and is displayed on an "as is" basis. Prices may be delayed, inaccurate, or unavailable. We do not guarantee the accuracy, completeness, timeliness, or reliability of any pricing data.

Portfolio valuations derived from pricing data are estimates only and should not be relied upon for tax reporting, legal proceedings, financial planning, insurance claims, or any other official purpose. For manually-valued assets, valuations are entered by you and we make no representation about their accuracy. You should verify all financial data independently before making decisions based on it.

User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised access. Accounts are non-transferable.

We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Billing

The Service offers a free tier with limited features and a Pro subscription with additional features. All payments are processed by Apple through In-App Purchase. We do not directly collect or store your payment information.

• Pro subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.
• You can cancel your subscription at any time through your Apple ID settings (Settings > Apple ID > Subscriptions). Cancellation takes effect at the end of the current billing period.
• No partial refunds are issued for unused portions of a billing period. Refund requests must be directed to Apple, as Apple processes all payments.
• If a free trial is offered, it converts to a paid subscription at the end of the trial period unless cancelled. Any unused portion of a free trial is forfeited upon purchasing a subscription.
• We reserve the right to change which features are included in each tier, but will provide reasonable notice before removing features from the Pro tier that you are currently paying for.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the app
• Attempt to gain unauthorised access to the Service's systems, other users' accounts, or data
• Use automated tools (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or circumvent subscription restrictions

You are solely responsible for the accuracy and legality of the portfolio data you enter.

Intellectual Property

The Service — including the app, website, code, design, logos, and the "Panoramica" name — is owned by Cayman Pty Ltd and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes.

Your portfolio data remains your property. By using the Service, you grant us a limited licence to process and store your data solely for the purpose of providing the Service (syncing, backup, and display).

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any pricing data or portfolio valuations will be accurate or complete.

Some jurisdictions do not allow the exclusion of certain warranties or consumer rights. Nothing in these Terms is intended to exclude or limit any consumer protection rights that apply to you under mandatory local law. In particular, for users in Australia, nothing in these Terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot be excluded by agreement, and in such cases our liability is limited to re-supply of the Service or payment of the cost of re-supply. For users in the European Union, your statutory consumer rights under applicable EU or member state law remain unaffected.

Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim, or USD $100 (or the equivalent in your local currency), whichever is greater.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or savings
• Loss of data
• Loss arising from investment decisions made using or relying on the Service
• Loss arising from inaccurate pricing data
• Loss arising from service interruptions or downtime
• Any discrepancy between values shown in the Service and actual market values

These limitations apply to the maximum extent permitted by applicable law in your jurisdiction. Nothing in these Terms limits our liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

Account Termination

You can delete your account at any time through the app settings or by contacting us. Upon deletion, your data is removed from our servers within 30 days. Local data is removed when you uninstall the app.

We may suspend or terminate your account for violation of these Terms, with reasonable notice where practicable. Upon termination, your licence to use the Service is revoked. Any active Pro subscription should be cancelled by you through Apple to avoid further charges.

You may export your portfolio data before account deletion using the export functionality within the app.

Third-Party Services

The Service integrates with third-party services including Supabase, RevenueCat, Apple, and financial data providers. We are not responsible for the availability, accuracy, or practices of third-party services. Their use is subject to their own terms and privacy policies.

Service Availability

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with reasonable notice where practicable. We are not liable for any modification, suspension, or discontinuation of the Service.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the app or email. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree with updated Terms, you should stop using the Service and delete your account.

Governing Law

These Terms are governed by the laws of the State of Queensland, Australia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be subject to the non-exclusive jurisdiction of the courts of Queensland, Australia. Before initiating legal proceedings, you agree to first contact us to attempt to resolve the dispute informally.

If you are a consumer in a jurisdiction where mandatory local consumer protection laws apply (including the European Union, the United Kingdom, or other regions with similar protections), nothing in this section deprives you of the protection of the mandatory provisions of the laws of your country of residence or your right to bring proceedings in your local courts.

General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cayman Pty Ltd regarding the Service.
